NeuroTracker Terms & Conditions for Organizations

Welcome to NeuroTracker. CogniSens Inc. (referred to as ‘CogniSens’, ‘us’, ‘we’) are the owners and primary provider of all NeuroTracker applications & intellectual property, and owner of www.neurotracker.net

Please read these terms and conditions carefully. By signing up with a NeuroTracker account, you are agreeing to these terms and conditions, and must (a) be at least 18 years old, or (b) have your parent’s or legal guardian’s permission to do so.


NeuroTracker applications include ‘NeuroTracker Remote’ (web based), ‘NeuroTracker Pro’ (both web and Win OS desktop based), ‘NeuroTracker Pro Centre’ (Win OS desktop based), and ‘Elite’ and ‘Custom’ versions (upgrades to NeuroTracker Pro). These software applications can be delivered across a variety of hardware and software platforms. Organizations signed-up with NT Apps are provided access to ‘NeuroTracker Cloud’ – a dedicated web-based application which allows your Organization to remotely manage End-user accounts, training programs and data, as well as Administrators within your Organization. Collectively, all these NeuroTracker applications will be referred to here as ‘NT Apps’.

As a commercial service provider of NT Apps (for example a sports team, school, or treatment clinic), you will be referred to here as ‘Organization/s’. End-users of NT Apps may sign-up directly with CogniSens (a ‘NeuroTracker Personal Account’), or through an independent organization (a ‘NeuroTracker Remote Account’). In both cases here, they will be referred to as ‘End-users’. Details on the terms and conditions for End-users can be read here.

Pricing and Subscriptions

Prices for NT Apps are primarily based on US dollar amounts, according to international currency and tax situations, CogniSens reserves the right to variable pricing for non-US countries.

By subscribing to an Organization account you authorize CogniSens to bill your credit card or other
payment method for any subscription fees (if they apply to your Organization). If you are paying for End-users under your Organization (as opposed to End-users paying themselves), you may change each End-user’s account billing between monthly, quarterly or yearly subscriptions at any time. Any change will take effect upon the expiration of the current subscription period.

Subscriptions will automatically renew at the current subscription rate upon the expiration of the current subscription period, unless cancelled. You may cancel a subscription at any time up to 11pm the evening before the renewal date, which will prevent any further renewals, unless re-subscribing at a later date.

We reserve the right to change our fees from time to time. If we change our subscription fees, any such change will not apply until your next subscription period. You will be notified of any changes in fees at least one month in advance, via the e-mail address you provided for your account.

Although in some circumstances we may do so, CogniSens is not required to provide any refunds for paid NT App subscriptions for End-users or Organizations.

Access to any End-user or Organization accounts provided free of charge for trial purposes, may be cancelled by CogniSens at any time.

If for any reason CogniSens terminates an End-user or Organization subscription without cause, we will refund a pro rata portion of any fees that you have paid for the unused portion of the paid subscription period.

In the case of any temporary lapses in service or unintended software behavior related to product updates or server stability, we will strive to correct these promptly, but are not required to provide any refunds.

In any case of improper or inappropriate use associated with NT Apps, CogniSens reserves the right to terminate End-user or Organization accounts without refund.

Managing End Users signed-up with your Organization

When you provide End-users with access to NT Apps through your Organization, you acknowledge that you are responsible managing your End-users’ NT Apps training programs and training session settings.

We are not responsible for any product based claims or warranties made by your Organization regarding NT Apps, or for any of your policies or actions regarding the data privacy of End-users.

If there is a dispute between an End-user and your Organization, we are under no obligation to become involved. However, we reserve the right to transfer any End-users who are dissatisfied with your Organization’s service to an independent NeuroTracker Personal, account managed by CogniSens (if the end-user is willing).

CogniSens reserves the right to refuse requests by your Organization to terminate End-user
NeuroTracker Remote Accounts paid for by the user. If you wish to cease managing an End-user signed-up with your Organization, you may request that we move their account to a NeuroTracker Personal Account managed by CogniSens, however we are not required to oblige.

For users already signed-up with a NeuroTracker Personal account, we are not required to transfer the account to an Organization upon request, though we may do so in some circumstances.

NeuroTracker Cloud provides the tools you need to manage End-user accounts. We are not required to assist with managing any End-users in your Organization. It also your responsibility to maintain the security of your NeuroTracker Cloud account through appropriate assignment of Administrators, and appropriate use of logins and passwords.

You are responsible for the actions of any Administrators that you assign to manage End-users under your Organization, and also responsible if any of your Administrators deny End-users access to their accounts.

Full termination and deletion of End-user accounts and user data from NT Apps servers may only occur at CogniSens’ discretion.

Usage of NT Apps

Internet is required to access NT Apps. We are not responsible if any NT Apps related services are altered or inaccessible due to slow or unstable internet connections.

We not responsible for any problems or lack of training benefits when NT Apps is used differently from the instructions provided in the NeuroTracker User Guide (available here), and in support documentation provided to your Organization directly. This includes any problems occurring with the NT Apps due to incompatible software or hardware.

Although we may choose to do so, CogniSens has no obligation to provide support services for software and hardware setups associated with the use of NT apps.

If we have included free End-user accounts for your Organization’s staff, these accounts should not be used for your clients, or be used in any way to generate revenue directly.

We are not required to provide exports of usage data outside of the NeuroTracker software platform, or to synchronise End-user data between NeuroTracker Remote Accounts (Cloud application) and centre-based NT Apps (Win OS desktop application).

If any of your Organization’s Administrators or End-users provide any comments, testimonials, feedback or suggestions to CogniSens regarding NT Apps, we may use these freely.

Though CogniSens may provide and deliver 3D glasses for NT Apps to end users, we are not obligated to do so. In some cases, Organizations providing NT Apps will be required to provide or deliver 3D glasses for NT Apps to end users.

You shall not disassemble, reverse compile or reverse engineer any part of the NT Apps, or replace any copyright or branding associated with NT Apps.

Though NT Apps may be used in the assessment of medical conditions, any interpretation or diagnoses made from NT Apps data needs to be made by a professional medical specialist. NT Apps is not intended to be a replacement for any medical treatments, assessments or professional advice. We are not responsible for the relevance of any cognitive or human performance related assessments, conclusions, or interpretations that your Organization makes regarding NT Apps data.

Persons employed by your Organization should not publically make inappropriate or inaccurate claims regarding the usage, scientific findings, or benefits, of NeuroTracker. In such cases CogniSens reserves the right to revoke an Organization’s access to NT Apps.

We are not responsible for the physical safety of any End-users using NT Apps while performing physical activity, or for any side effects potentially associated with NeuroTracker training generally, or for the use of NeuroTracker when integrated with other technologies.

General Terms

NT Apps are located in Canada. If you choose to use NT Apps in other regions of the world with laws governing data collection that differ from Canada law, then please note that you are transferring your personal Information according Canada law. Please refer to the Privacy Policy at www.NeuroTracker.net/privacy for more details.

Any claim or dispute relating to these Terms and Conditions, shall be governed by the laws of the Province of Quebec, CANADA.

CogniSens may modify NT Apps at any time with functional changes, updates or upgrades. If CogniSens upgrades the application platform for NT Apps in the future, we are not required to provide legacy access to earlier platforms (though we may choose to do so, on a case by case basis).

CogniSens is not liable for any potential indirect or consequential damages relating to the use of NT Apps.

These Terms and Conditions remain in effect for any period of time in which you are a user or provider of NT Apps.

These Terms and Conditions may be amended by CogniSens from time to time. If we make changes we will post the revised Terms and Conditions within NT Apps, on the neurotracker.net website, or notify you by email.
